Terms of Service

1) Acceptance of Terms

By accessing itfusiontech.com or using our forms, downloads, scheduling tools, or store pages (if any) (collectively, the “Services”), you agree to these Terms. If you do not agree, do not use the Services.

2) Changes

We may modify these Terms at any time. The “Effective Date” above indicates the latest version. Your continued use after changes take effect constitutes acceptance.

3) Eligibility & Accounts

You must be at least 18 and have authority to bind your organization. You are responsible for safeguarding any credentials and for all activity under your account.

4) Informational Nature; No Professional Advice

The Site provides general IT and cybersecurity information. It is not professional advice tailored to your environment. For paid services, your rights and obligations are governed by a separate Master Services Agreement (MSA) and Statement(s) of Work (SOW). If there is a conflict, the MSA/SOW controls.

5) Orders, Pricing & Payments (if applicable)

Prices and product/service descriptions may change until an order is placed. We may use third-party payment processors; additional terms may apply. You agree to pay all amounts due, plus taxes and fees. Refunds are provided per our Refund Policy (if offered) or your MSA/SOW.

6) Acceptable Use

You agree not to:

Attempt to breach, scan, or test the vulnerability of our systems without written authorization

Interfere with the Services or use them to distribute malware or spam

Misrepresent your affiliation or submit unlawful, infringing, or harmful content

Copy, scrape, or reverse engineer the Services except as permitted by applicable law

7) Your Content & Feedback

If you submit content (e.g., forms, reviews, uploads), you grant IT Fusion a worldwide, non-exclusive, royalty-free license to use it to operate and improve the Services. You grant a perpetual, irrevocable license to use feedback and suggestions without obligation.

8) Intellectual Property

All content, trademarks, and technology on the Site are owned by IT Fusion or its licensors and protected by IP laws. No rights are granted except as expressly stated.

9) Third-Party Services

We may integrate third-party tools (e.g., analytics, scheduling, payments). Those services are governed by their own terms and privacy policies. IT Fusion is not responsible for third-party acts or omissions.

10) Confidentiality (B2B)

If you engage us for services, each party may receive confidential information. Each will protect the other’s confidential information with reasonable care and use it only to perform or receive the services. NDAs/DPA provisions in your MSA control in case of conflict.

11) Disclaimers

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, IT FUSION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be error-free or uninterrupted.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IT FUSION WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR SECURITY INCIDENTS CAUSED BY THIRD PARTIES. OUR TOTAL LIABILITY RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNTS YOU PAID TO IT FUSION FOR THE SERVICE DURING THE THREE (3) MONTHS BEFORE THE CLAIM.

13) Indemnification

You will defend and indemnify IT Fusion from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services or violation of these Terms.

15) Termination

We may suspend or terminate access to the Services at any time, with or without cause. Upon termination, provisions that by nature should survive (ownership, confidentiality, disclaimers, limitations, indemnity) will survive.

16) Governing Law & Venue

These Terms are governed by the laws of the State of Florida, excluding its conflicts-of-law rules. The exclusive venue for disputes is the state or federal courts located in Broward County, Florida.

17) Export & Sanctions Compliance

You agree to comply with applicable export control and sanctions laws and not use the Services in prohibited jurisdictions or for restricted end uses.

18) Communications; Consent

By submitting forms or creating an account, you consent to receive operational and marketing communications (subject to opt-out where required). You agree that electronic records and signatures have the same legal effect as originals.

19) Entire Agreement

These Terms, together with our Privacy Policy and any service-specific terms, constitute the entire agreement regarding your use of the Site.
